CHAT STAFF® is part of the Division of Internet Services of American Morgan Corporation properly constituted in accordance with the laws established in the USA.

2. The license on CHAT STAFF® is of commercial use, not exclusive and not transferable, in order that the Beneficiaries of the Service could have access to the same one only from the Web site of the Client.

3. Payments
a. The Client will pay to CHAT STAFF® and/or to account that this one indicates the quota of current subscription, the monthly revenue in the Portal of CHAT STAFF®, for the service of the Services must liquidate it precisely, and in accordance with the period and conditions that in him are defined.

4.CHAT STAFF®

CHAT STAFF® saves himself the right to modify in the future his prices, by means of simple publication in the Portal of CHAT STAFF® The modification, in his case, will do taking in account the prevailing conditions on the market in this moment.

5. Conditions of the Service
a. Installation. - For the installation of CHAT STAFF® in the Web site of the Client, the Client will add the Button of Help to his Web site, for his account and across his Webmaster or another person that the proper Client should designate, following the instructions sent by CHAT STAFF® The responsibility of the installation of CHAT STAFF® is an exclusive interview of the Client.
b. Access and Connection. - The Beneficiaries of the Service will be able to have access to the service of CHAT STAFF® in spite of only pressing the Button of Help in the Web site of the Client. CHAT STAFF® does not become responsible for the access and connection to Internet of the Users and Beneficiaries of the Service.

6. Responsibility for the Content
The Client admits and accepts that the communications in direct line between the client and the users of the Service, who happen in real-time and they cannot be access, published, censured or controlled in any form for CHAT STAFF®

For the previous thing, CHAT STAFF® does not take responsibility in any form for the content of the above-mentioned communications in line, even if the same ones could be offensives or violate rights of third.

7. Confidentiality
CHAT STAFF® forces himself to keep scrupulously and not to reveal to third persons the names, numbers, analysis, information and other information that in a given moment could go so far as to have access, without the assent previous in writing of the Client.

8. Restrictions
The Client will not be able:
a. To modify in no form or to create works derived from CHAT STAFF®, his codes or of his documents, including translations.
b. To use skills of inverse engineering or of any form to try to deduce the codes source and codes object of CHAT STAFF®
c.To sublicense, to copy, to redistribute or of any form to grant rights on CHAT STAFF® to third.
d. To use CHAT STAFF® for ends different to match.
e. To remove or to alter the mark, logotypes or any another notice, signal of property, legends, signs or labels of CHAT STAFF® that identify it as property of CHAT STAFF®, without the assent previous in writing of CHAT STAFF®.

These restrictions are without detriment to any other one contained in this Agreement.

9. Not competition
The Client binds not to compete with CHAT STAFF® by means of the establishment of a business of characteristics or similar ends to CHAT STAFF® or by means of the distribution of products similar to CHAT STAFF®.

10. Copyright and Intellectual Property
a.These restrictions are without detriment to any other one contained in this Agreement

b. The Client admits and accepts that CHAT STAFF® is protected by the laws and international agreements on the subject of copyright, as well as by other laws and agreements on intellectual property, for what he binds to respect at all times the rights of intellectual property that CHAT STAFF®, has, and any others that it holds.

11. Guarantees, Damages and Responsibility
a.Guarantees.-
CHAT STAFF® provides in ideal conditions of operation and functionality. The Client, assumes consequently any risk of operation and yield that implies the use of this service across his teams and of Internet.
b. Damages.-
In any case CHAT STAFF® will be responsible for no consequential, incidental, direct, indirect, special or sanctioning damage or for any other damage, anyone that is his nature, which will be able to arise from the use, ineptitude or impossibility of use of CHAT STAFF® This exclusion of damages will be effective even although CHAT STAFF® has errors in his essential end.
c. Responsibility.-
In the measurement allowed by the applicable law, the Client liberates CHAT STAFF® and his Members of anyone and all the responsibilities that arise or are related to all the claims relating to CHAT STAFF® or his use.
If the Client does not want to use CHAT STAFF® under the terms of this Agreement, he will have to neither install nor use CHAT STAFF®
The Client recognizes that the content of the communications in electronic format that the Beneficiaries of the Service should begin between responsibility, as well as the legal damages that could follow the proper Client or to third with the above mentioned motive.

12. Indemnification
The Client agrees in indemnifying CHAT STAFF® of any action, demand or claim, (even of lawyers' fees and judicial coasts) derivatives of any nonperformance on the part of the Client to the present Agreement including, without limitation for: the (i) undue use of CHAT STAFF®; or the (ii)For violation to the laws or international agreements relative to the copyright or intellectual property of CHAT STAFF®

13. Suspension of the Service and Rescission of the Contract
a. CHAT STAFF® will be able to suspend the execution of CHAT STAFF® from his Servants when the Client stops paying opportunely the Quotas and Tariffs.
b. CHAT STAFF® will be able to suspend or to finish the service of CHAT STAFF® in any moment, in case that the Client does not fulfill with any of his obligations contracted in this Agreement.
c. The Client will be able to cancel the service by means of notice in writing to CHAT STAFF® with 30 days of anticipation.

14. Applicable legislation and Jurisdiction
The Client agrees in indemnifying CHAT STAFF® of any action, demand or claim, (even of lawyers' fees and judicial coasts) derivatives of any nonperformance on the part of the Client to the present Agreement including, without limitation for: the (i) the undue use of CHAT STAFF®; or the (ii)the for violation to the laws or it treats.

15. Meaning
The following definitions, they will have the meaning that next is indicated:

Button of Help:
It is defined as the image or text that will be placed in the Web site of the Client, who contains one league for the execution of CHAT STAFF®

CHAT STAFF®
The software created for and property of CHAT STAFF®, and his papers, which allows to the Beneficiaries of the Service and to the User to begin a conversation in line, that is to say, by means of the connection to Internet, from the Web site of the Client. The person or persons authorized by the Client to use CHAT STAFF® in order to begin communications with the Beneficiaries of the Service.

User or Users
The person or persons authorized by the Client to use CHAT STAFF® in order to begin communications with the Beneficiaries of the Service.

Servant or Servants
The computers or central units of prosecution that can gain access for one or more Beneficiaries of the Service.

Web Site or Client Site Web
The set of pages, documents and electronic files of the Client that shape his presence in Internet.

Beneficiaries of the service
Any person or persons who interact with the Web site of the Client, by means of the use of CHAT STAFF®

Webmaster
The person in charge of the administration of the Web Site which principal obligation, for effects of this Agreement, will consist of placing the Button of Help in the Web Site.
